Terms Of Service

These Terms of Service (“Terms”) govern your access to and use of SoundVent’s platform, mobile apps, websites, and any content, features, or services provided by SoundVent, Inc. (“SoundVent,” “we,” “us,” or “our”), a California-based company located in Scotts Valley, CA.

By using SoundVent, you agree to these Terms. If you do not agree, do not use our Services.

1. Acceptance of Terms

Your access to and use of SoundVent is conditioned on your acceptance of these Terms. We may update these Terms from time to time. The updated version will be posted on our website, and your continued use of the platform constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 13 years old to use SoundVent. By using the Services, you represent that:

• You are at least 13 years of age (or 16 where required).
• Your account information is accurate and up to date.
• You are not barred from using the Services under any applicable laws.

3. Your Content & Licensing

You retain ownership of all content you create and upload.

However, by posting, uploading, submitting, or sharing content on SoundVent, you grant us a:

• Non-exclusive
• Worldwide
• Royalty-free
• Transferable and sublicensable
• License to host, store, reproduce, modify, adapt, distribute, display, promote, and create derivative works of your content for the purpose of:
  • Operating and improving the platform
  • Displaying your content to other users
  • Marketing and promoting SoundVent

This license ends when your content is deleted, except where your content has been shared or saved by other users.

4. User Conduct & Community Guidelines

You agree not to engage in any of the following:

• Harassment, threats, bullying, or abuse
• Posting illegal content or inciting unlawful behavior
• Sharing sexually explicit content involving minors
• Posting hateful, violent, or discriminatory content
• Sending spam or unsolicited messages
• Attempting to hack, reverse engineer, or disrupt the platform
• Evading bans or impersonating others

We may remove content or terminate accounts at our discretion if we believe you have violated these Terms or our Community Guidelines.

5. Content Moderation

We use human moderation and automated systems to detect policy violations, spam, fraud, or harmful behavior. Automated systems may impact the visibility of your content but do not make final enforcement decisions without human oversight.

6. Messaging & Social Features

SoundVent includes private messaging, comments, likes, group chats, and other social features. You agree not to use these features to harass, spam, or send abusive content. While we do not proactively monitor private messages, we may review them if:

• A report is filed by another user
• We suspect fraud, abuse, or illegal activity
• Required by law

7. Third-Party Services & Integrations

SoundVent integrates with third-party services including Stripe, Supabase, Vercel, Printful, Spotify, Bandsintown, Mux, YouTube, and others. By using these integrations, you agree to the respective terms and privacy policies of these service providers.

SoundVent is not responsible for downtime, data loss, or issues caused by third-party services.

8. Commerce, Stores & Marketplace

Users may sell products through SoundVent using our Printful integration. By selling products, you agree to the following:

• SoundVent receives a 10% commission on all sales.
• Printful handles fulfillment, shipping, and production.
• Orders cannot be canceled or refunded once submitted (Printful begins production immediately).
• You are responsible for the legality, accuracy, and intellectual property rights of your designs or products.
• You must comply with all tax, advertising, and commerce laws.
• Disputes relating to fulfillment or defects must be handled through Printful’s policies.

9. Payment Processing

Payments are securely processed through Stripe. By using SoundVent’s commerce features, you agree to Stripe’s Terms of Service. SoundVent does not store full payment card details.

10. Subscriptions & Billing

Some features may require a paid subscription. By subscribing, you agree that:

• Subscriptions automatically renew unless canceled before the renewal date.
• You authorize recurring charges to your payment method.
• Refunds are discretionary and typically only issued for technical issues or billing errors.

11. Refunds (Digital & Physical Goods)

Refund policies differ by product type:

• Digital purchases (subscriptions): non-refundable, except in cases of billing error.
• Printful merch: all sales are final due to print-on-demand production.
• Custom digital goods: non-refundable unless defective.

12. DMCA & Copyright Policy

If your copyrighted work has been infringed, you may file a DMCA notice at:dmca@soundvent.com.

Your DMCA notice must include:

• Your contact information
• A description of the copyrighted work being infringed
• The exact URL of the infringing content
• A good faith statement that the use is unauthorized
• A statement under penalty of perjury that the notice is accurate
• Your physical or electronic signature

13. Account Termination

You may delete your account at any time. We may also suspend or terminate your account if you:

• Violate these Terms or our Community Guidelines
• Engage in fraud, abuse, or illegal activity
• Pose a risk to the safety of the community

14. Disclaimer of Warranties

SoundVent is provided “as is” and “as available.” We make no warranties regarding:

• Platform uptime or availability
• Accuracy or reliability of content
• Security or error-free operation
• Third-party integrations

15. Limitation of Liability

To the fullest extent permitted by law, SoundVent is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

16. Indemnification

You agree to indemnify and hold harmless SoundVent, its officers, directors, employees, contractors, and partners from claims arising out of:

• Your use of the Services
• Your content
• Your violation of these Terms
• Your interaction with other users
• Your use of commerce or monetization features

17. Security

We take reasonable technical and organizational measures to protect your data. However, no system is completely secure. You are responsible for maintaining the confidentiality of your login credentials and notifying us immediately of unauthorized access.

18. Algorithmic Recommendations

SoundVent uses automated systems to recommend content, artists, groups, or accounts based on your activity. Recommendations may not be perfect or unbiased. You acknowledge that these systems may impact the visibility of your content.

19. Platform Changes

We may modify, suspend, or discontinue parts of the platform at any time without notice. We are not liable to users or third parties for any modifications or discontinuations.

20. Governing Law

These Terms are governed by the laws of the State of California. Any disputes must be resolved in the state or federal courts located in California.

21. Arbitration & Dispute Resolution

Except for claims eligible for small claims court, you agree that disputes will be resolved through binding arbitration rather than court litigation. Class action lawsuits and class-wide arbitration are not permitted.

22. Survival

Sections relating to intellectual property, limitations of liability, disclaimers, indemnification, governing law, dispute resolution, and licensing survive termination of your account.
